Third-Party Tools Policy

At Noventra AI, we use carefully selected third-party software and platforms to deliver our automation and AI-powered services. This Policy explains how third-party tools are integrated into our operations and clarifies the rights of our clients, ensuring transparency and compliance with provider terms.
1. Use of Third-Party Tools
Noventra AI uses selected third-party software, APIs, and infrastructure services (collectively, “Third-Party Tools”) to support the delivery of automation and AI-powered services. These tools are used internally by Noventra AI as part of its service infrastructure.
Third-Party Tools may include, for example, artificial intelligence APIs, cloud infrastructure, monitoring services, or supporting technical services. They do not include client-owned platforms or accounts that Noventra AI connects to or interacts with on the client’s behalf.
The selection, configuration, and operation of Third-Party Tools are determined solely by Noventra AI. All use is conducted in accordance with applicable provider terms, licensing requirements, and data protection obligations.
2. Client Platforms and No Access to Noventra AI Tooling
Clients retain full ownership and control of their own third-party platforms, accounts, and services (such as email providers, CRMs, payment processors, or advertising platforms). Where required, clients may authorize Noventra AI to interact with these platforms on their behalf using secure authorization methods.
Such authorization does not grant clients access to Noventra AI’s internal systems, tooling, automation infrastructure, workflows, templates, prompts, credentials, or configurations. All internal systems and operational tooling remain under the exclusive control of Noventra AI.
Clients’ rights are limited to receiving the outputs and results generated by the Services. Clients may not request or attempt to obtain access to Noventra AI’s internal systems or proprietary configurations.
3. Exclusive Control & Responsibility
Noventra AI maintains exclusive control and responsibility over all operational settings, integrations, and proprietary workflow methods.
Clients acknowledge that all workflows, templates, prompts, and configurations constitute the intellectual property and trade secrets of Noventra AI.
This separation ensures compliance with Third-Party Tool provider terms and protects the integrity, security, and confidentiality of all client and provider systems.
4. Costs & Billing
Fees charged by Noventra AI include any costs associated with the use of Third-Party Tools.
Clients are not billed separately by, and have no contractual or payment obligations to, Third-Party Tool providers.
Clients agree that their financial obligations are solely to Noventra AI under the terms of their subscription or service agreement.
Any changes in third-party licensing or cost structures that materially affect service pricing will be communicated by Noventra AI in advance, and reflected in updated subscription terms if applicable.
5. No Resale, Sublicensing, or Affiliation
Noventra AI does not resell, sublicense, or provide Third-Party Tools as standalone products.
No licenses, rights, or interests in Third-Party Tools are transferred or granted to clients.
Clients may not use Noventra AI’s services in any way that suggests endorsement by, or official affiliation with, Third-Party Tool providers.
All trademarks, service marks, and brand names remain the property of their respective owners.
6. Compliance & Indemnification
Noventra AI operates strictly within the terms of service and acceptable use policies of all Third-Party Tools.
Clients must not use deliverables in a way that breaches those terms.
The Client agrees to indemnify and hold harmless Noventra AI against any claims, damages, or liabilities arising from misuse of deliverables or use in violation of applicable law or third-party platform terms.
Noventra AI reserves the right to suspend or terminate services if a Client’s use of deliverables risks breaching third-party terms.
7. Data Protection & Security
Personal data processed using Third-Party Tools is handled in accordance with Noventra AI’s Privacy Policy and applicable data protection laws.
Noventra AI ensures that data transfers and processing activities involving Third-Party Tools are consistent with GDPR and other applicable laws.
Clients remain responsible for providing accurate data and for ensuring they have the legal right to share such data with Noventra AI for processing.
8. Policy Updates
Noventra AI may update this Policy from time to time to reflect changes in the use of Third-Party Tools, provider terms, or applicable laws.
Updates will be published with a new “Last Updated” date.
Material changes will be communicated where legally required or where they significantly impact Clients.
